Welcome to Grounded Dating. These Terms and Conditions (“Terms”), together with your Membership Agreement, govern the contract between you and Grounded Connections Ltd (“the Company,” “we,” or “us”). Grounded Dating is not a dating app; we are a professional matchmaking and logistics service providing structured real-world introductions.

IMPORTANT — SHARED RESPONSIBILITY NOTICE: Grounded Connections Ltd conducts reasonable and proportionate vetting procedures as part of its duty of care. However, the Company is not, and shall not be construed as, the sole party responsible for safeguarding members. Members bear independent and personal responsibility for their own safety, conduct, and the accuracy of information they provide. Please read Sections 2.4–2.6 carefully.

1. Your Contract with Us

1.1 Formation of Contract

Your contract with Grounded Connections Ltd becomes legally binding at the moment you explicitly agree to participate in a matchmaking date arranged by us.

1.2 Scope of Agreement

These Terms, alongside the specific details in your Membership Agreement, form the full contract for the sale and provision of our services.

1.3 Personal Membership

The membership and any resulting dates are personal to you as the named member and may not be transferred to anyone else.

1.4 Pricing and Payment

The price for our services is specified in your Membership Agreement and includes any applicable VAT.

1.5 Payment Terms

We take payment upon receipt of your order and reserve the right to refuse or suspend services if full payment is not obtained.

2. Eligibility and Membership Requirements

2.1 Exclusivity Requirement

Members are required to be single and not in an existing relationship while utilising the service.

2.2 Truthful Information

You agree to provide true and accurate information at all times. You must notify us immediately of changes in your availability, relationship status, or personal circumstances.

2.3 Age Requirement

You must be at least 18 years old to register for an account and use our services.

2.4 Verification and Shared Responsibility

Grounded Connections Ltd undertakes reasonable and proportionate identity verification procedures, including good-faith ID checks and structured interviews and/or questionairres, as part of its standard onboarding process. These measures represent our reasonable duty of care in member screening. However, no vetting process, however diligent, can guarantee the complete accuracy of information provided by third parties. The Company does not, and cannot, warrant that all information supplied by members is accurate, complete, or current.

Members expressly acknowledge that ultimate responsibility for their personal safety and conduct during introductions rests with themselves, and that the Company’s screening procedures do not transfer that personal responsibility to Grounded Connections Ltd. You agree that the Company has fulfilled its obligations by applying a reasonable standard of care in its vetting process.

2.5 Limitation of Vetting Liability

The Company’s verification procedures are designed to act as a reasonable safeguard, not an absolute guarantee. Grounded Connections Ltd expressly disclaims any liability arising from inaccurate, false, or misleading information provided by members, whether discovered before or after an introduction has taken place. The Company shall not be held solely or jointly responsible for the actions, omissions, or misrepresentations of any member, provided reasonable screening procedures were followed at the point of onboarding.

2.6 Proportionate Duty of Care — Not Sole Responsibility

Grounded Connections Ltd acknowledges its duty to apply reasonable care and skill in screening members prior to facilitating introductions. This duty is proportionate and reasonable in nature. The Company is not, and shall not be construed as, the sole party responsible for safeguarding members.

Members bear independent and personal responsibility for:

The Company’s role is facilitative, and its safeguarding obligations are shared with, not transferred from, the individual member.

3. The Matchmaking Service

3.1 Nature of Service

Our service involves providing “Recommendations” (profiles selected one at a time) or “Confirmed Introductions” (where both parties agree to be put in touch and set up on a blind date).

3.2 Logistics over Algorithms

As a matchmaking service, we handle venue selection and logistics planning between 2 dating attendees.

3.3 No Guarantees

You accept that we do not guarantee the outcomes of recommendations. The choices made by others are not within our control, and a recommendation counts toward your agreement regardless of whether both parties agree to meet.

3.4 Preferences

We reserve the right to recommend individuals who may only match your preferences to a degree, as this approach is often more successful.

4. Conduct and Integrity (The Grounded Code)

4.1 Harassment and Distressing Conduct

Persistent Unwanted Contact

You agree not to engage in any behaviour that causes a nuisance, inconvenience, distress, or anxiety to anyone we introduce you to.

Abuse and Intimidation

Any form of illegal, abusive, insulting, threatening, or discriminatory language – whether promoting racism, sexism, hatred, or bigotry is strictly prohibited.

Off-App Conduct

Because Grounded Dating is a matchmaking service focused on real-world meetings, your conduct during dates and via private messaging platforms is subject to these Terms. If we are made aware of harm committed outside of our direct facilitation, we reserve the right to take action as if it happened on our platform.

4.2 Violation of Privacy (The Confidentiality Clause)

Non-Disclosure of Identity

You are strictly prohibited from disclosing the identity, personal information, or membership experience of any individual we introduce you to, without mutual consent of the third party.

Prohibition of “Scraping”

You may not use any personal information gained through our service for commercial purposes, spamming, or stalking.

4.3 Deception and Misrepresentation

Inaccurate Information

Knowingly providing false or inaccurate details regarding your age, relationship status, or criminal history is a breach of conduct.

Impersonation

You must use your real name and real age; any attempt to deceive or manipulate other members through inauthentic behaviour is grounds for immediate termination.

4.4 Liability Protection and Disclaimers

“As Is” Service

To the maximum extent permitted by law, our services are provided “as is” without warranty of any kind, express or implied.

Personal Responsibility

The care taken by us in sourcing recommendations in no way absolves you of your personal responsibility for your own safety and security during meetings. Your use of our services is solely at your own risk.

Limitation of Liability

Grounded Connections Ltd shall not be liable for any direct, indirect, or consequential damages, including loss of profit or property damage, arising from your interactions with other members (whether “online” or “offline”).

Criminal History

While we may investigate suspected misconduct by searching public records, we do not guarantee that all members are subject to criminal background checks. Such checks are not a perfect safety solution and criminals may circumvent search technology. The Company’s background screening constitutes a reasonable and proportionate step in risk mitigation; it does not constitute an assumption of responsibility for the conduct of any member, nor does it make the Company the sole or primary safeguarding party in respect of member interactions.

5. Consequence of Prohibited Behaviour

5.1 Sole Discretion

If the Managing Director determines, in their sole opinion, that you have breached these conduct requirements, Grounded Connections Ltd has the right to terminate your membership immediately.

5.2 No Refund Policy

In the event of a termination due to prohibited behaviour or serious complaints, no refund will be applicable for any fees paid.

5.3 Legal Cooperation

When necessary, we may cooperate with law enforcement to assist in potential criminal investigations related to member conduct.

6. Termination and Cancellation

6.1 Right to Terminate

We reserve the right to terminate or suspend your membership without notice for violating these Terms, providing false information, or if we receive serious complaints about your conduct.

6.2 Right to Cancel (14-Day Cooling Off)

Under the Consumer Contracts Regulations 2013, you have 14 days to cancel this contract from the date of commencement.

6.3 Deductions

If you request services to begin within the 14-day period and then cancel, we will charge for services provided.

6.4 Beyond 14 Days

No refunds are applicable for early termination by the member after the 14-day period, as the fee paid is not divisible pro rata.

7. Dispute Resolution and Governing Law

7.1 Severability

If any provision of these Terms is found to be unenforceable, the remaining provisions shall remain in full force and effect.

7.2 Informal Resolution

Before beginning any formal process, you agree to notify us in writing and meet in a good faith effort to resolve the dispute informally.

7.3 Jurisdiction

This contract is subject to English law and the English courts shall have exclusive jurisdiction over any disputes.
